AGREEMENT BETWEEN USER AND MINGOFY LLC

THESE TERMS OF SERVICE ("TERMS") ARE A LEGAL AGREEMENT BETWEEN YOU ("USER," "YOU," OR "YOUR") AND MINGOFY LLC ("COMPANY," "WE," "US," OR "OUR"). BY ACCESSING OR USING OUR WEBSITE AT MINGOFYTV.COM OR ANY OF OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

3. USER REPRESENTATIONS AND WARRANTIES

4. COMMUNICATIONS AND CONSENT TO CONTACT

4.1 Express Consent

Y USING OUR SERVICES, YOU REPRESENT AND WARRANT THAT:

4.5 SMS/TEXT MESSAGING TERMS AND CONDITIONS

MINGOFY LLC SMS PROGRAM

By providing your mobile phone number and opting into our SMS program, you agree to receive text messages from Mingofy LLC regarding our digital marketing services, including service updates, appointment reminders, promotional offers, and other business-related communications.

You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Carriers are not liable for delayed or undelivered messages.

5. PAYMENT TERMS AND CONDITIONS

PAYMENT TERMS SHALL BE AS SPECIFIED IN INDIVIDUAL SERVICE AGREEMENTS OR STATEMENTS OF WORK

ALL FEES ARE DUE AND PAYABLE IN ACCORDANCE WITH THE PAYMENT SCHEDULE SET FORTH IN THE APPLICABLE AGREEMENT

EXCEPT AS OTHERWISE EXPRESSLY PROVIDED, ALL FEES ARE NON-REFUNDABLE

LATE PAYMENTS MAY INCUR ADDITIONAL CHARGES AS SPECIFIED IN THE SERVICE AGREEMENT

6. INTELLECTUAL PROPERTY RIGHTS

PAYMENT TERMS SHALL BE AS SPECIFIED IN INDIVIDUAL SERVICE AGREEMENTS OR STATEMENTS OF WORK

ALL FEES ARE DUE AND PAYABLE IN ACCORDANCE WITH THE PAYMENT SCHEDULE SET FORTH IN THE APPLICABLE AGREEMENT

EXCEPT AS OTHERWISE EXPRESSLY PROVIDED, ALL FEES ARE NON-REFUNDABLE

LATE PAYMENTS MAY INCUR ADDITIONAL CHARGES AS SPECIFIED IN THE SERVICE AGREEMENT

6.1 Company Property

ALL INTELLECTUAL PROPERTY CREATED BY MINGOFY LLC, INCLUDING BUT NOT LIMITED TO DESIGNS, CONCEPTS, METHODOLOGIES, AND DELIVERABLES, SHALL REMAIN THE EXCLUSIVE PROPERTY OF MINGOFY LLC UNTIL FULL PAYMENT IS RECEIVED.

6.2 Transfer Upon Payment

UPON RECEIPT OF FULL PAYMENT FOR SERVICES, OWNERSHIP OF SPECIFICALLY CONTRACTED DELIVERABLES SHALL TRANSFER TO CLIENT AS SET FORTH IN THE APPLICABLE SERVICE AGREEMENT.

6.3 Portfolio Rights

MINGOFY LLC RESERVES THE RIGHT TO USE COMPLETED WORK IN ITS PORTFOLIO, MARKETING MATERIALS, AND PROMOTIONAL ACTIVITIES UNLESS OTHERWISE SPECIFIED IN WRITING.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINGOFY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

8. INDEMNIFICATION

MINGOFY LLC RESERVES THE RIGHT TO USE COMPLETED WORK IN ITS PORTFOLIO, MARKETING MATERIALS, AND PROMOTIONAL ACTIVITIES UNLESS OTHERWISE SPECIFIED IN WRITING.

9. TERMINATION

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS MINGOFY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM YOUR USE OF OUR SERVICES OR YOUR VIOLATION OF THESE TERMS.

9.1 Termination Rights

EITHER PARTY MAY TERMINATE SERVICES WITH THIRTY (30) DAYS WRITTEN NOTICE TO THE OTHER PARTY.

9.2 Effect of Termination

UPON TERMINATION, YOU REMAIN RESPONSIBLE FOR ALL CHARGES AND FEES INCURRED UP TO THE EFFECTIVE DATE OF TERMINATION.

10. MODIFICATION OF TERMS

MINGOFY LLC RESERVES THE RIGHT TO MODIFY THESE TERMS AT ANY TIME. UPDATED TERMS WILL BE POSTED ON MINGOFYTV.COM WITH THE EFFECTIVE DATE OF MODIFICATION. YOUR CONTINUED USE OF OUR SERVICES AFTER SUCH MODIFICATIONS CONSTITUTES ACCEPTANCE OF THE UPDATED TERMS.

11. GOVERNING LAW AND JURISDICTION

THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO ITS CONFLICT OF LAW PROVISIONS. ANY DISPUTES ARISING HEREUNDER SHALL BE SUBJECT TO THE EXCLUSIVE JURISDICTION OF THE STATE AND FEDERAL COURTS LOCATED IN SAN DIEGO COUNTY, CALIFORNIA.
